If you fail to abide by the terms described within the User Agreement, Wholesalecoinandmore may suspend or terminate your account at any time. The suspension or termination of your account will not affect any of your obligations as they are described in the User Agreement. Risks All investment includes an element of risk. The value of bullion coin is constantly affected by a variety of factors including market price, the perceived value of such coins in relation to their availability, as well as other innumerable factors. Because of the natural fluctuations in price, investing in bullion and coins may not be suitable for everyone. It is in your best interest to learn as much as you can, fully understand the market, and ensure you have sufficient financial reserves before considering any investment. Indemnification By using any of our services, you agree that Wholesalecoinandmore and its affiliates, directors, officers, and shareholders cannot be held responsible or liable for any costs, damages, expenses, liabilities, or obligations you incur as a result of or in connection with any breach of agreement made by you to Wholesalecoinandmore, or your failure to adhere to the Terms of Use laid out within the User Agreement. Limitation of Liability By using any of our services, you agree that if Wholesalecoinandmore is determined to be liable to you in connection with any transaction between you and us, that liability is limited to either the amount which you paid during the transaction or $100; whichever is greater. We cannot be held liable for any consequential, exemplary, or indirect losses or damages you may incur. Other Policies We may, from time to time, adopt other policies regarding our website, our services, or sales and purchases by Wholesalecoinandmore. Default; Rights and Remedies Upon your failure to comply with any obligations to Wholesalecoinandmore, we will have any and all rights available to us, not limited to those described within the Conditions of Use Agreement. Wholesalecoinandmore may also use any of your funds that it currently holds to satisfy your financial obligations to it. In addition, Wholesalecoinandmore may offset any of its financial obligations to you against your obligations to it. Your account may also be turned over to a collections agency or to a lawyer for collection. No delay or failure to act on our part can be construed as a waiver of any right or remedy. Also, no action upon any right or remedy will limit further exercise of that right or remedy, or any other. By using any Wholesalecoinandmore service you agree to allow us to charge the credit card you have provided for any market losses incurred by Wholesalecoinandmore, including cancellation fees, as a result of your failure to fulfill any obligation. Bullion Market Loss Policy In regard to purchasing from Wholesalecoinandmore, the price offered to you is locked and the transaction cannot be cancelled once a confirmation number has been issued. The only option is to offset at the current BID price. You are responsible for paying any deficit between the price at which we sold to you and the offset price. In regards to selling to Wholesalecoinandmore, the offered price is locked and the transaction cannot be canceled once a confirmation number has been issued. The only option is to offset at the current buying price. You are responsible for paying any deficit between the offered price and the offset price. A $35 cancellation fee will be charged for all cancellations. Any market gain as a result of cancellations belongs to Wholesalecoinandmore. Absence of Relationship Upon using any Wholesalecoinandmore service, the only relationship that exists between you and us is that of a buyer and a seller. No other relationship exists or is implied. Assignment Our written consent is required before you may transfer or assign this User Agreement, any rights it grants you, or any obligations to another party. This User Agreement will be considered binding on any allowed transfer or assignment and any successors of Wholesalecoinandmore. Costs and Expenses of Collection In the event that your account is turned over to a collections agency or a lawyer for collection, you become responsible for paying all costs associated with the collection. Dispute Resolution It is our goal that all disputes can be resolved in a timely fashion. To that end, use of any Wholesalecoinandmore service requires that you agree to dispute resolution as outlined below: Forum Selection The Federal and State courts of Iowa shall have jurisdiction in any disputes. Those disputes must be resolved within those courts. By using any Wholesalecoinandmore service, you agree to waive any objection to the jurisdiction of those courts. Governing Law This User Agreement shall be governed and interpreted in agreement with the laws of Iowa. Waiver of Jury Trial: Arbitration BOTH WHOLESALECOINANDMORE AND YOU WAIVE YOUR RIGHT TO TRIAL BY JURY AND THE RIGHT TO ARBITRATION IN THE EVENT OF ANY DISPUTE. Liability Failure to perform or delay in the performance of any of our obligations due to events that are beyond our control is excusable, and Wholesalecoinandmore cannot be held responsible or liable for any losses or damages which occur because of such events. Further Assurances By using any Wholesalecoinandmore, you agree to complete and provide any other reasonable documentation or actions which may be required. Notices All communications with us must be through an authorized agent of Wholesalecoinandmore in the state of Iowa. All communications to you will be sent to the mailing address, or e-mail address you provided upon registration. Absence of Waivers Any failure or decision not to take action in response to any of your failures to comply with the User Agreement does not affect the ability of Wholesalecoinandmore to act upon any other such failure. Section Headings The section headings used in this agreement are intended to make the document more easily understood. They do not, and cannot affect the interpretation or the scope of the User Agreement. Severability If any term of the User Agreement is found to be unenforceable under the applicable laws, it does not affect the enforceability of any other term. Amendment We reserve the right to change this User Agreement at any time. Any changes will be posted on the Wholesalecoinandmore website and, except when otherwise noted; all changes will take effect 30 days after their posting. This User Agreement cannot be changed in any other fashion except by mutual, written agreement between Wholesalecoinandmore and you. Entire Agreement This User Agreement sets forth the entire agreement between Wholesalecoinandmore and you in regards to the material contained within it.
